3. Payment and Renewal
General Terms
When you purchase a product or service from Spunjet, you agree to pay the listed fees, which may be one-time charges or ongoing monthly/annual subscription costs. Some additional payment conditions may be outlined separately. Subscription fees are billed in advance on the day you upgrade, covering access for the stated billing cycle. Please note that payments are non-refundable.
Automatic Renewal
Unless you cancel your subscription before the current billing period ends, it will automatically renew. By not canceling, you authorize Spunjet to charge the applicable monthly or annual fee (plus any required taxes) using the payment method we have on file. You can cancel an upgrade at any time by submitting a written request to Spunjet.
4. Services
Fees and Payment
By creating a Services account, you agree to pay Spunjet’s setup fees and ongoing charges. Billing begins on the date your service is activated and is charged in advance. Spunjet may adjust fees or payment terms by providing 30 days’ written notice. You may cancel your service at any time by giving Spunjet 30 days’ written notice.
Support
Some services include priority email support. This means you can contact us by email at any time, and we will make reasonable efforts to respond within one business day. “Priority” indicates that your requests will be handled before those from users of free or standard services. Support is provided according to Spunjet’s usual policies and procedures.
5. Responsibility of Website Visitors
Spunjet does not review all material posted to its website and cannot be held responsible for its accuracy, safety, or impact. By using the site, you accept the risk of encountering harmful, offensive, or inaccurate material, and you are responsible for protecting your systems against viruses, malware, or other destructive elements. The site may contain errors or materials that infringe on third-party rights. Spunjet is not liable for any harm arising from the use or downloading of content posted on the website.
6. Content on External Websites

If you register, use, or transfer a domain name through Spunjet, you also agree to comply with the Internet Corporation for Assigned Names and Numbers (ICANN) policies, including their Registration Rights and Responsibilities.
13. Changes
Spunjet may modify or replace these Terms at its sole discretion. It is your responsibility to review this Agreement periodically. Continued use of the website after changes are posted constitutes acceptance. New tools or services offered through the site will also be subject to these Terms.
14. Termination
Spunjet may suspend or terminate access to the website at any time, with or without notice. If you hold a paid account, termination will occur only if you breach this Agreement and fail to correct it within 30 days of notice, unless Spunjet discontinues services altogether. 15. Disclaimer of Warranties

You agree that: (i) your use of the Website will fully comply with this Agreement, Spunjet’s Privacy Policy, and all applicable laws and regulations (including those concerning online conduct, acceptable content, and the transfer of technical data across borders); and (ii) your use of the Website will not infringe or misuse the intellectual property rights of others.
18. Indemnification
You agree to defend, indemnify, and hold harmless Spunjet, its affiliates, officers, employees, agents, contractors, and licensors from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Website or your violation of this Agreement.
19. Miscellaneous
This Agreement represents the complete understanding between you and Spunjet regarding the Website and supersedes any prior agreements. Any changes must be made in writing and signed by an authorized representative of Spunjet, or by Spunjet posting a revised version on the Website. Unless otherwise required by law, this Agreement and any disputes related to it will be governed by the laws of Ontario, Canada, without regard to conflict‑of‑law rules. Legal disputes shall be resolved either in the courts of Toronto, Ontario or, at Spunjet’s election, through binding arbitration conducted in Toronto by three neutral arbitrators in accordance with widely recognized arbitration rules. The arbitration proceedings will be in English, and any award may be enforced in a competent court of law. The prevailing party in any action or proceeding will be entitled to recover reasonable legal costs and attorney fees. If any provision of this Agreement is found to be invalid or unenforceable, it will be interpreted to reflect the parties’ original intent, and the remainder will continue in effect. No waiver of any term shall be considered a continuing waiver of future breaches. You may only assign your rights under this Agreement to another party that accepts and agrees to be bound by its terms. Spunjet may assign its rights under this Agreement without restriction. This Agreement is binding on both parties as well as their respective successors and permitted assigns.
